HUA HONG SEMI (01347) announced that ChongShing FinTech Limited (a licensed corporation under the Securities and Futures Ordinance to carry on Type 1 (dealing in securities) and Type 6 (advising on corporate finance) regulated activities) has been appointed by the Company as the independent financial advisor in Hong Kong. The appointment is to advise the independent board of directors committee, the independent shareholders under the Takeover Code, and the independent shareholders under the Listing Rules on whether the proposed acquisition, the special mandate for the proposed acquisition, and the whitewash waiver are fair and reasonable, and to make recommendations on voting at the extraordinary general meeting regarding the aforementioned matters. According to Rule 2.1 of the Takeover Code, the independent board of directors committee has approved the appointment of ChongShing FinTech Limited as the independent financial advisor in Hong Kong.
