IMPERIUM TEC GP (00776) announced that since the publication of the Securities and Futures Commission's (SFC) notice, the board believes that after a prolonged period and certain actions taken before August 4, 2025, the company's high shareholding concentration may have been addressed. The key actions are summarized as follows:

(i) As disclosed in the company's announcements dated April 11, 2021, April 12, 2021, and May 3, 2021, IMPERIUM TEC GP entered into a placement agreement with Sun International Securities Limited on April 12, 2021. A total of 23.83 million new shares were placed to no fewer than six placees at HK$5 per share, representing approximately 7.66% of the company's enlarged issued share capital post-placement.

(ii) As disclosed in the company's announcements dated October 2, 2024, and October 24, 2024, IMPERIUM TEC GP entered into a placement agreement with Metaverse (International) Securities Limited on October 2, 2024. A total of 62.2072 million new shares were placed to no fewer than six placees at HK$1.79 per share, representing approximately 16.67% of the company's enlarged issued share capital post-placement.

(iii) As disclosed in the company's announcements dated January 24, 2025, March 24, 2025, April 23, 2025, May 15, 2025, and May 30, 2025, the controlling shareholder of IMPERIUM TEC GP entered into a placement agreement with Huatong Securities International Limited on January 24, 2025. A total of 141.5 million placement shares were placed in batches to multiple placees at HK$0.65 per share, representing approximately 37.92% of the company's then-existing issued share capital post-placement.

In light of the above, the company believes the SFC's concerns regarding high shareholding concentration have been resolved. The SFC's references to the company's shareholding concentration on September 14, 2009, and March 17, 2014, should not be used as benchmarks for evaluating the current shareholding structure. Based on analysis and available information as of August 4, 2025, the board is satisfied that (i) the shareholding concentration cited by the SFC for September 14, 2009, and March 17, 2014, no longer exists as of August 4, 2025; and (ii) as of August 4, 2025, the company's shares are not concentrated among a limited number of shareholders.
