PLUS GP HOLDING (02486) has announced that on October 8, 2026, its wholly-owned subsidiary PLUS GP Shanghai entered into equity transfer agreements with Ms. Wu Yunqiu, pursuant to which PLUS GP Shanghai conditionally agreed to acquire, and Ms. Wu Yunqiu conditionally agreed to sell, 40.0% equity interests in Shanghai Subide and 40.0% equity interests in Shanghai Suditong, for cash considerations of RMB 21.64 million and RMB 19.24 million, respectively.

As of the date of this announcement, PLUS GP Shanghai held 60.0% equity interests in each of Shanghai Subide and Shanghai Suditong. Upon completion of these acquisitions, Shanghai Subide and Shanghai Suditong will each be wholly owned by PLUS GP Shanghai. Accordingly, Shanghai Subide and Shanghai Suditong will each become wholly-owned subsidiaries of the company, and their financial results will continue to be consolidated into the group's consolidated financial statements.

Shanghai Subide and Shanghai Suditong are both non-wholly-owned subsidiaries of the company and are principally engaged in the group's O2O marketing business, with a particular focus on omnichannel operational management for the instant retail business. The company is committed to becoming an AI-native enterprise in the sales and marketing sector. Within the industry, the company is one of the first to serve the broader sales and marketing market through a combined solution of "domain-specific models for sales and marketing plus enterprise-level intelligent agents." Leveraging this breakthrough, the group has rapidly connected offline, O2O, and online scenarios into an integrated network through its subsidiaries, thereby establishing comprehensive sales capabilities spanning both online and offline channels.

The O2O instant retail marketing business is an important part of the group's overall strategy implementation. This business connects with mainstream instant retail platforms, enabling connections between offline terminal touchpoints and online platforms and private domains, and also serves as one of the primary vehicles for the group's sales data circulation and expansion of AI sales capabilities. These acquisitions will further enhance the group's autonomy and collaborative efficiency at the data, decision-making, and strategy levels, creating more favorable conditions for the implementation of the group's overall strategy.

In addition, the acquisition of the remaining 40.0% equity interests in Shanghai Subide and the remaining 40.0% equity interests in Shanghai Suditong will enable the group to consolidate its ownership and control over Shanghai Subide and Shanghai Suditong, thereby facilitating more effective integration of data, technology, and commercial resources into the group's overall AI ecosystem. Full ownership will also help the group further enhance data security and compliance, improve data collection and conversion efficiency, accelerate independent decision-making and execution, and strengthen the strategic synergies among the group's data, algorithms, and AI models. This will help the group better capture the long-term strategic and commercial value of Shanghai Subide and Shanghai Suditong, supporting the sustainable development and long-term interests of the group's AI ecosystem.
