Parkson Retail Announces 18 May 2026 AGM; Agenda Covers Director Re-election, 2025 Results, Auditor Re-appointment and Fresh Share Mandates

Parkson Retail Group Limited has issued its proxy form and agenda for the 2026 Annual General Meeting (AGM), scheduled for 18 May 2026 at 9:30 a.m. in Hong Kong. Key matters to be put to shareholder vote include:

1. 2025 Financial Statements • Shareholders will consider and adopt the audited consolidated financial statements together with the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Board Composition and Remuneration • Executive Director Ms. Juliana Cheng San San and Independent Non-Executive Director Dato’ Fu Ah Kiow stand for re-election. • The board seeks authorisation to determine directors’ remuneration.

3. Auditor Continuity • Proposal to re-appoint Grant Thornton Hong Kong Limited as external auditor and authorise the board to fix its remuneration.

4. Capital Management Mandates • Share repurchase mandate: authority to buy back up to 10% of the Company’s issued share capital (excluding treasury shares) as at the date of approval. • Issuance mandate: authority to allot and issue new shares up to 20% of issued share capital (excluding treasury shares). • Extension mandate: proposed expansion of the issuance limit by the number of shares repurchased under the above buy-back mandate.

Voting Mechanics All resolutions will be decided by poll in accordance with Hong Kong Listing Rule 13.39(4). Each share carries one vote. Shareholders unable to attend may appoint a proxy; completed forms must reach Tricor Investor Services Limited by 9:30 a.m., 16 May 2026 (Hong Kong time). Attendance in person will automatically revoke submitted proxies.

The AGM will take place at Century Room II, Basement 3, Novotel Century Hong Kong, 238 Jaffe Road, Wan Chai, Hong Kong.
