Brave Steed Legacy Limited has completed its mandatory unconditional cash offer for all outstanding shares of Most Kwai Chung. The offer closed on 23 April 2026 without revision or extension.
Only five valid acceptances were received, covering 112,005 shares—equivalent to 0.04 % of Most Kwai Chung’s issued share capital. At the offer price of HK$0.6963 per share, total consideration amounted to HK$0.08 million. Settlement will be dispatched no later than 5 May 2026.
Post-transaction, Brave Steed Legacy and its concert parties control 175.61 million shares, or 65.1 % of the company, up marginally from 65.0 % prior to the offer. Public shareholders now hold 89.23 million shares, representing 33.0 % of issued capital—comfortably above the Hong Kong Listing Rule minimum of 25 %.
Board changes became effective at the close of the offer: • Dr. Ma Liyang, sole shareholder and director of Brave Steed Legacy, joins the board as Executive Director and succeeds Mr. Iu Kar Ho as Chairman. • Dr. Chen Yang is appointed Independent Non-Executive Director and joins the Audit, Nomination and Remuneration Committees. • Mr. Leung Wai Man has resigned as Independent Non-Executive Director and from all board committees. • Mr. Iu Kar Ho remains an Executive Director after stepping down as Chairman.
No further share acquisitions, disposals, borrowings or lendings were reported by the offeror or its concert parties during the offer period.
