Uni-President China to Seek Fresh Issuance and Buy-back Mandates, Proposes RMB0.4747 Final Dividend

Uni-President China (stock code: 00220) has issued a circular ahead of its annual general meeting (AGM) scheduled for 5 June 2026 in Hong Kong. Key proposals and timetable highlights include:

• Equity Mandates:  – A new general mandate allowing directors to issue up to 863.87 million shares—equivalent to 20% of the current 4.32 billion issued shares (treasury shares excluded).  – A repurchase mandate of up to 431.93 million shares, or 10% of the issued total.  – An extension mandate permitting any repurchased shares to be added to the issuance limit.

• Dividend Proposal:  – Final dividend of RMB47.47 cents (approximately RMB0.4747) per share for FY 2025, to be paid in Hong Kong dollars. The HKD conversion will use the average USD/CNY and USD/HKD spot rates for the five Hong Kong business days preceding the AGM.  – Key dates:   • Ex-dividend register closure: 11 – 15 June 2026   • Record date: 15 June 2026   • Expected payment: on or around 8 July 2026

• Director Re-elections:  – Executive directors: Lo Chih-Hsien (Chairman) and Liu Xinhua (President)  – Non-executive directors: Chen Kuo-Hui and Chien Chi-Lin

• Register Closure for AGM: 1 – 5 June 2026; shareholders must lodge share transfers by 29 May 2026 to attend and vote.

Major shareholder Uni-President Enterprises Corp. (UPE) holds 72.98% of issued shares. If the full repurchase mandate were exercised, UPE’s stake would rise to 81.09%, leaving public float below the 25% Listing Rule threshold; the board therefore states it has no present intention to repurchase to such an extent.

All resolutions—including dividend payment, director re-elections and the three mandates—will be put to shareholder vote by poll at the 5 June 2026 AGM.
