JINGCHENG MAC (00187) announced that the company held the 16th interim meeting of the 11th Board of Directors on December 15, 2025. The meeting reviewed and approved the "Proposal on Electing the Chairman of the 11th Board of Directors and Changing the Hong Kong Authorized Representative." It was resolved to elect Mr. Li Zhongbo, a non-executive director, as the Chairman of the 11th Board of Directors, effective from December 15, 2025, until the company's 2025 Annual General Meeting. Mr. Li Zhongbo, as a non-executive director, has entered into a service contract with the company. The Chairman and non-executive directors do not receive remuneration from the company.

In accordance with the Company Law of the People's Republic of China and the company's Articles of Association, the legal representative of the company will be changed to Mr. Li Zhongbo. The company will promptly complete the relevant industrial and commercial registration procedures. Additionally, the Board has appointed Mr. Li Zhongbo as the company's authorized representative under Rule 3.05 of the Hong Kong Stock Exchange Listing Rules.

Following the election of Mr. Li Zhongbo as the new Chairman, Mr. Zhang Jiheng, the executive director, will no longer serve as the authorized representative due to the expiration of his term.

Furthermore, the interim meeting also passed the "Proposal on Adjusting the Conveners and Members of the Special Committees of the 11th Board of Directors." Mr. Li Zhongbo was elected as the Chairman of the Board's Strategy Committee and a member of the Remuneration and Appraisal Committee, effective from December 15, 2025, until the 2025 Annual General Meeting. With Mr. Li Zhongbo's appointment as the new Chairman, Mr. Zhang Jiheng will no longer serve as the Chairman of the Strategy Committee or a member of the Remuneration and Appraisal Committee due to the expiration of his term.
