Ingenia Rejects Warburg Pincus Raised Buyout Proposal Valued at AUD 1.47 Billion

Ingenia Communities has once again turned down a higher buyout offer from private equity firm Warburg Pincus, stating that the revised bid still falls short of the company's true worth. The operator of Australian retirement communities and holiday parks has indicated it remains open to considering a superior proposal.

Ingenia Communities declined the increased AUD 1.47 billion takeover bid from Warburg Pincus, signaling it would evaluate a potentially higher offer. The New York-based private equity firm raised its all-cash indicative offer to AUD 5.05 per share (equivalent to USD 3.60), marking a 6.3 percent increase from the initial AUD 4.75 per share proposal that Ingenia rejected two weeks ago.

After consulting with independent advisors, Ingenia announced that its board determined the revised proposal continues to significantly undervalue the company and does not align with the best interests of shareholders. The board reiterated its willingness to entertain alternative acquisition proposals that deliver compelling value and benefit security holders, a position it has communicated to Warburg Pincus and its advisory team.

Warburg Pincus, which has invested over USD 10 billion in Asia-Pacific real estate platforms and related ventures, expressed disappointment at Ingenia's refusal to negotiate on the latest offer. In an emailed statement, the firm said it remains open to constructive engagement with Ingenia's board regarding the proposal and continues to pursue a friendly, board-recommended transaction.

Ingenia first disclosed Warburg Pincus's initial offer on September 7, which included a condition that Ingenia not proceed with its planned acquisition of Australian-listed property developer Peet (ASX: PPC). Warburg Pincus stated Monday that the revised proposal represents a superior all-cash alternative to the Peet acquisition for Ingenia security holders.

Warburg Pincus has established a presence in the Asia-Pacific senior living sector through a joint venture with South Korean developer SK D&D. Launched in 2025, the venture holds three prime assets in Seoul designed to serve South Korea's rapidly expanding elderly population.

Ingenia shares closed 0.7 percent higher at AUD 4.35 on Monday, following the announcement. Prior to the initial disclosure of Warburg Pincus's interest, the stock had been trading at AUD 3.65.
