China Oil & Gas Group Limited reported that the sole resolution at the special general meeting (SGM) held on 14 July 2026—approving the Share Swap Agreement and its related transactions—was overwhelmingly passed by poll, receiving 2.11 billion votes in favour (99.99%) versus 0.11 million votes against (0.01%).
The meeting covered 5.20 billion ordinary shares eligible to vote, after excluding 437.43 million shares set aside for the company’s share-award scheme from the total 5.64 billion shares in issue. No shareholders were subject to voting restrictions, mandatory abstentions, or stated opposition in advance, and all directors were present.
Computershare Hong Kong Investor Services Limited acted as the independent scrutineer for the poll. With the resolution now adopted, the Share Swap Agreement moves forward with full shareholder authorization.
