SOHO China Schedules 22 May 2026 AGM to Approve 2025 Results, Board Re-election, 20% Issuance Mandate and 10% Share Buyback

SOHO China Limited will convene its 2026 Annual General Meeting (AGM) on 22 May 2026 at 10:00 a.m. on the 11th floor of Tower A, Chaowai SOHO, Chaoyang District, Beijing. Shareholders on record as of 22 May 2026 are eligible to attend and vote; the register of members will be closed from 19 May to 22 May 2026 (both days inclusive).

Key agenda items include:

1. Financial Reporting • Adoption of the audited consolidated financial statements and the reports of the Board and independent auditor for the year ended 31 December 2025.

2. Board Composition and Remuneration • Re-election of Executive Director Mr Qian Ting. • Re-election of Independent Non-Executive Directors Mr Huang Jingsheng and Mr Zhang Mingeng. • Authorisation for the Board to determine directors’ remuneration.

3. Auditor Re-appointment • Re-appointment of Grant Thornton Hong Kong Limited as external auditor, with the Board authorised to fix its remuneration.

4. Capital Mandates • General mandate permitting the Board to allot, issue or deal with shares and convertible securities up to 20% of the company’s issued share capital (excluding treasury shares) during the mandate period. • Authority to repurchase shares on the Hong Kong Stock Exchange or other recognised exchanges up to 10% of issued share capital (excluding treasury shares). • Extension mechanism allowing the issuance mandate to be enlarged by the number of shares repurchased under the buyback mandate, capped at an additional 10% of issued share capital.

Shareholders may appoint proxies; a proxy form, together with any authority documents, must be lodged with Computershare Hong Kong Investor Services no later than 48 hours before the meeting.

As of the notice date (30 April 2026), SOHO China’s Board comprises Executive Directors Pan Shiyi, Pan Zhang Xin Marita, Xu Jin and Qian Ting, and Independent Non-Executive Directors Huang Jingsheng, Xiong Ming Hua and Zhang Mingeng.
