Bonjour Holdings Confirms Capital Reorganisation Completion; Trading to Resume at 1:00 p.m. on 15 September 2026

Bonjour Holdings Limited (Bonjour Holdings) announced that every condition precedent for its Capital Reorganisation has been met following receipt of approval for the Capital Reduction from the Cayman Islands Registrar of Companies dated 10 September 2026. Consequently, the reorganisation became effective before 9:00 a.m. on 11 September 2026.

Key implementation milestones are as follows: • 11 September 2026 – First day for free exchange of existing share certificates into new certificates; commencement of dealings in the new shares from 9:00 a.m.; closure of the original counter for trading in lots of 12,000 existing shares; and opening of a temporary counter for trading in lots of 400 new shares. • 30 September 2026 – Original counter reopens for trading in standard lots of 5,000 new shares; parallel trading in existing and new share certificates begins; and a designated broker starts providing odd-lot matching services. • 22 October 2026 – Odd-lot matching services end, and both the temporary counter and parallel trading period close at 4:10 p.m. • 26 October 2026 – Final day for shareholders to exchange old share certificates for new ones free of charge.

Trading in Bonjour Holdings’ shares was halted at 9:55 a.m. on 11 September 2026 pending this update. The company has applied for, and received, approval to resume trading of its new shares at 1:00 p.m. on 15 September 2026.

The board composition remains unchanged, with Chairman and Executive Director Mr Chen Jianwen confirming the timetable and resumption details in the 15 September 2026 announcement.
