Tian Chang Group Holdings announced that its indirect wholly owned subsidiary, Tian Hao New Materials Technology (Hui Zhou), signed a Construction Agreement on 12 August 2026 with Guangdong Zhongfu Jianbang Engineering for a new advanced-materials manufacturing complex in Huizhou, Guangdong.
The turnkey contract, valued at RMB149.30 million (HK$173.50 million), covers design and construction of: • Two factory buildings (total GFA: 74,679.26 sq m) dedicated to semi-solid magnesium alloy injection moulding (Magnesium Thixomolding) and other advanced-material processes. • Two staff-quarter blocks (12,848.13 sq m). • Two warehouses (556.32 sq m) and two guard houses, plus associated outdoor and ancillary facilities.
Key commercial terms • Project launch: within seven days of contract signing; construction period: 240 days up to final inspection. • Consideration breakdown: RMB4.60 million for piling; RMB104.20 million for factory buildings; RMB28.40 million for staff quarters; RMB1.40 million for warehouses; RMB1.20 million for guard houses; RMB9.50 million for outdoor works. • Payment milestones range from 10% on ground-floor completion to 97% on overall handover, with 3% retained as a two-year quality guarantee. • Guangdong Zhongfu has lodged a RMB10.00 million (HK$11.60 million) performance deposit, refundable if obligations are met.
Tender and funding Tian Hao selected Guangdong Zhongfu after a two-party tender in which the winning bid was RMB16.90 million lower than the rival offer. The contract will be funded through internal resources and existing banking facilities.
Strategic rationale The plant underpins Tian Chang Group’s strategy to evolve into an “Integrated Advanced Manufacturing Platform”, expanding its capabilities in lightweight materials and precision manufacturing to serve diversified industry applications.
Regulatory status As the transaction’s size exceeds 25% but is below 100% of relevant percentage ratios, it is classified as a “major transaction” under Hong Kong Listing Rule 14.06(3). Written approval has been secured from a concert party holding 60.23% of issued shares, obviating the need for an extraordinary general meeting. A circular detailing the agreement will be dispatched to shareholders by 25 August 2026.
