EDA Group Holdings Limited announced that the shareholder circular for its major transaction involving a Lease Agreement, originally scheduled for dispatch on or before 27 Mar 2026, will now be issued on or before 15 Apr 2026.

The deferral stems from the additional time required to finalise two key components: 1) the Group’s indebtedness statement as at 28 Feb 2026; and 2) the letter confirming sufficiency of working capital.

To accommodate the revised timeline, the company applied for and received a waiver from strict compliance with Rule 14.41(a) of the Hong Kong Listing Rules, which ordinarily mandates dispatch within 15 business days of the original announcement (dated 8 Mar 2026).

The Board currently comprises eight directors: Executive Directors Mr. Liu Yong (Chairman), Ms. Li Qin and Mr. Cheung Man Yu; Non-executive Directors Mr. Zuo Manlun and Mr. Luo Jianfeng; and Independent Non-executive Directors Mr. Chan Kwok Cheung Kevin, Mr. Ng Cheuk Him and Mr. Wong Ping Yee Natalis.
