HSBC conducts HK$54.51 million share buyback; issued share count unchanged at 17.18 billion

HSBC Holdings plc (HSBC) disclosed that its issued share capital remained at 17.18 billion ordinary shares (US$0.50 par value) as of 7 August 2026, with no new shares issued or cancelled during the reporting period.

The bank repurchased 340,000 ordinary shares on 7 August 2026 via on-exchange transactions at prices ranging from HK$159.20 to HK$161.10 per share, for a total consideration of HK$54.51 million. These shares are designated for cancellation.

Together with 446,000 shares repurchased on 6 August 2026, HSBC has acquired 786,000 shares since the 8 May 2026 annual general meeting, representing approximately 0.0046 % of the share count at the time the buy-back mandate was granted. The mandate authorises repurchases of up to 1.72 billion shares and remains effective until the 2027 AGM or 30 June 2027, whichever is earlier.

Under Hong Kong Listing Rules, HSBC is subject to a 30-day moratorium—lasting until 6 September 2026—on issuing new shares following these buybacks, except for contingent convertible securities for which prior regulatory consent has been obtained.

After settlement, the 786,000 repurchased shares will be cancelled, reducing the outstanding share count accordingly. The company confirmed that all repurchases complied with the Hong Kong Stock Exchange rules and the terms set out in its explanatory statement dated 27 March 2026.
