Holly Futures (Stock Code: 3678) held its second extraordinary general meeting (EGM) of 2025 on 28 October 2025 in Nanjing, Jiangsu Province. According to official disclosures, the total number of issued shares stood at 1,007,777,778 (including 758,077,778 A Shares and 249,700,000 H Shares). A total of 379 shareholders participated, representing 213,613,279 shares (21.20% of the issued total).

The EGM passed three special resolutions concerning amendments to the Articles of Association and the related Rules of Procedures. The first special resolution, on changes to the Articles of Association, received 212,626,279 votes (99.54%) in favor, 962,400 (0.45%) against, and 24,600 (0.01%) abstaining. The second, on amending the Rules of Procedures for General Meetings, recorded 213,346,379 votes (99.88%) in favor, 221,500 (0.10%) against, and 45,400 (0.02%) abstaining. The third, on amending the Board of Directors’ Rules of Procedures, recorded 213,346,479 votes (99.88%) in favor, 221,400 (0.10%) against, and 45,400 (0.02%) abstaining. Each surpassed the two-thirds majority threshold.

Three ordinary resolutions regarding amendments to other governance policies were also approved. The policies for Connected Transactions, Raised Funds, and the Working Policies for Independent Directors each received more than half of the votes in favor, with results ranging from 99.49% to 99.52% support, 0.45% to 0.46% opposition, and up to 0.06% abstentions.

Following approval of the Articles Amendments, the Supervisory Committee was dissolved at the close of the EGM. Supervisors confirmed no disagreement with the Board and no additional matters requiring shareholder attention.
