Alibaba Health shareholders back RMB3.14 billion dividend and RMB10 billion share-premium cut at 2026 AGM

Alibaba Health (ALI HEALTH) secured overwhelming shareholder support at its 7 August 2026 annual general meeting in Hangzhou, with all 11 resolutions passed by poll.

Dividend approvals • Final dividend: RMB0.0595 per share, translating into a cash distribution of approximately RMB0.96 billion. • Special dividend: RMB0.1352 per share, amounting to around RMB2.18 billion. Both payouts are conditional on the effectiveness of a RMB10.00 billion reduction of the company’s RMB51.69 billion share-premium account, which will be credited to contributed surplus. Shareholders on record at close of business 13 August 2026 will be eligible.

Capital-management measures • A special resolution authorised the RMB10.00 billion share-premium reduction, lowering the balance to RMB41.69 billion; 99.95 % of votes cast were in favour. • Investors also approved standard share-issue and share-buyback mandates, with 92.64 % and 99.95 % support respectively. The extension mandate, allowing re-issuance of repurchased shares, passed with 93.77 % approval.

Board and auditor matters • Executive Director Sheng Mengyue and independent non-executive directors Huang Yi Fei, Shao Rong and Wu May Yihong were re-elected, receiving between 98.92 % and 99.81 % of votes. • Ernst & Young was re-appointed auditor with 98.35 % backing, and the board was authorised to fix its remuneration. Directors’ remuneration was likewise approved (99.12 % support).

Voting statistics • Shares in issue: 16.18 billion. • Voting shares eligible: 16.16 billion. • Trustee holdings under share award schemes—12.49 million shares (0.08 %)—were abstained from voting. • All ordinary resolutions received over 92 % support; both special resolutions exceeded the 75 % threshold required.

Governance update Shareholders endorsed amendments to the company’s bye-laws (99.95 % approval), aimed at aligning corporate governance provisions with prevailing regulatory requirements.

All resolutions are now adopted, positioning Alibaba Health to distribute a combined RMB3.14 billion in dividends and implement its capital-structure adjustments as scheduled.
