GUANZE MEDICAL announced a major leadership overhaul effective 1 July 2026. Executive Director Mr. Guo Zhenyu and Non-executive Director Ms. Meng Cathy will step down to focus on other business commitments.

Joining the board the same day are Ms. Jiang Zeman and Ms. Qin Jingying, both appointed as Executive Directors on three-year terms subject to annual re-election. Neither will receive a director’s fee, pending Remuneration Committee review.

Ms. Jiang, currently Vice President and General Manager of Funde Holding’s Risk Control and Compliance Center, will assume multiple key roles: • Chief Executive Officer and Chair of the Board, succeeding Mr. Meng Xianzhen. • Chair of the Nomination Committee and member of the Remuneration Committee. Ms. Jiang, aged 35, holds a law degree from Shantou University and brings extensive experience in risk control, compliance, and corporate governance.

Ms. Qin, aged 39, serves as Vice President and Financial Controller of Funde Holding. She holds a master’s degree in management from Hunan University and is a non-practicing member of the Chinese Institute of Certified Public Accountants.

Committee realignments accompanying the board changes include: • Ms. Meng Cathy exits the Nomination Committee. • Mr. Meng Xianzhen steps down from the Remuneration Committee. • Dr. Zhao Bin shifts from Chair to member of the Nomination Committee.

Ms. Jiang also replaces Mr. Meng Xianzhen as the company’s authorised representative under Hong Kong Listing Rule 3.05.

The board acknowledged the dual role of Chair and CEO vested in Ms. Jiang deviates from Corporate Governance Code Provision C.2.1 but stated that her familiarity with the group’s strategy will enhance operational efficiency.
