Global New Material International Holdings Limited reported that all resolutions tabled at the Extraordinary General Meeting (EGM) held on 2 September 2026 received 100% approval from voting independent shareholders, paving the way for key corporate transactions.

The first ordinary resolution endorsed the Share Transfer Agreement, together with its Supplemental and Second Supplemental Agreements, and authorised any director to execute all ancillary actions. The motion secured 568.16 million votes in favour, with no votes cast against.

The second ordinary resolution ratified the Option Agreement, subject to two conditions: the Put Option price is capped at RMB420.00 million, and any future exercise of the Call Option will require fresh compliance with Hong Kong Listing Rules and another shareholder vote. Support totalled 581.89 million votes, again with zero opposition.

Governance and participation metrics underscore strong shareholder backing: • Total shares in issue: 1.25 billion • Shares held by interested parties required to abstain (Dr. Su, Hongzun Investment, Hongzun International and associates): 455.59 million • Independent shares eligible to vote: 792.86 million • Voting turnout on Resolution 1: 71.63% of eligible independent shares • Voting turnout on Resolution 2: 73.43% of eligible independent shares

All directors attended the meeting in person or via electronic means. Tricor Investor Services Limited acted as scrutineer for the poll process.
