AIA Issues CNY2.00 Billion 2.875% Tier-2 Subordinated Notes Due 2046 for Professional Investors

AIA Group Limited has published the final terms for a CNY2.00 billion issuance of 2.875% Subordinated Dated Securities maturing on 11 September 2046 under its US$18.00 billion Global Medium Term Note and Securities Programme.

The renminbi-denominated notes, offered to professional investors only and marketed outside the United States under Regulation S, were priced at 99.622% of face value, delivering gross proceeds of approximately CNY1.99 billion. Coupons are fixed at 2.875% per annum, payable semi-annually each 11 March and 11 September, with the first payment on 11 March 2027. The Securities are expected to be admitted to trading on the Hong Kong Stock Exchange on 14 September 2026 (stock code: 85169).

Key structural terms include: • Capital treatment: Securities are expected to qualify as Tier 2 group capital under the Hong Kong Insurance Authority’s Group Capital Rules. • Tenor and calls: Final maturity on 11 September 2046, with an optional par call at any time from 11 March 2046 to maturity. A make-whole call is available from the issue date up to (but excluding) the par-call window. • Early-redemption events: Provisions cover taxation, regulatory, rating, and minimal outstanding amount triggers, each at par; all are subject to regulatory approval and a Group Capital Requirements Redemption Condition. • Distribution mechanics: Mandatory distribution deferral at maturity is built into the structure; no optional or mandatory distribution cancellation features are specified. • Denominations: CNY1.00 million and integral multiples of CNY10,000 thereafter. • Form & settlement: Registered securities issued in global form via the Hong Kong Central Moneymarkets Unit (CMU); ISIN HK0001327383, CMU Instrument No. BNYHFN26289.

Standard Chartered Bank acted as sole dealer for the non-syndicated offering. The notes carry expected issue ratings of “A” from both S&P Global Ratings and Fitch.

Consistent with listing rules, AIA emphasises that the securities are not intended for retail distribution in Hong Kong, the European Economic Area or the United Kingdom. The offering is exempt from registration under the U.S. Securities Act of 1933, and no U.S. public offering is contemplated.

As of the announcement date (14 September 2026), AIA’s board is chaired by Independent Non-executive Director Sir Mark Edward Tucker, with Group Chief Executive and President Mr. Lee Yuan Siong serving as Executive Director, alongside 11 other Independent Non-executive Directors.
