SJM Holdings (00880) published an announcement regarding a continuing connected transaction involving a laundry services agreement. Clean Living (Macau) Limited, a wholly owned subsidiary of Shun Tak Holdings (242), will provide outsourced laundry services for Grand Lisboa Hotel and Casino Oceanus/Jai Alai Hotel under SJM Resorts from 1 January 2026 to 31 December 2026.

According to the announcement dated 5 March 2026, the parties agreed on an annual cap of HK$20.30 million. The rate was determined based on open tender processes and set with reference to prevailing market prices. The arrangement can be renewed subject to compliance with relevant rules, may be terminated with a two-month written notice, and does not preclude sourcing from third parties.

Clean Living is considered a connected person under Chapter 14A of the Listing Rules because it is an associate of Ms. Ho, the Chairman and Executive Director of SJM Holdings (00880). As the relevant percentage ratio exceeds 0.1% but remains below 5%, the transaction is subject to announcement, reporting, and annual review requirements, exempt from circular and independent shareholders’ approval. The directors who had material interests abstained from voting, and the remaining directors concluded that the agreement is in the ordinary course of business and on normal commercial terms.
