Zhong Hua International to Vote on Director Re-election and Renewal of Share Issuance & Buy-back Mandates

Zhong Hua International Holdings Limited has released its circular for the 2026 Annual General Meeting (AGM), outlining key resolutions that will be put to shareholders on 26 June 2026 in Hong Kong.

Key agenda items

1. Director re-elections • Executive Director Ho Kam Hung (in office since 1996) and Independent Non-Executive Director Tam Kong Lawrence (in office since 2005) will retire by rotation and stand for re-election. • The Nomination Committee confirms Mr Tam’s continued independence despite his 20-year tenure; separate resolutions will be tabled for each candidate.

2. Renewal of Issue Mandate • Board seeks authority to issue, allot and deal with new shares up to 20% of issued share capital. • Based on the current 768.62 million shares outstanding, the mandate would allow for the issuance of up to 153.72 million shares. • A supplemental resolution would extend the mandate by the number of shares repurchased under the buy-back mandate.

3. Renewal of Share Repurchase Mandate • Company requests authority to buy back up to 10% of issued shares, equating to a maximum of 76.86 million shares. • Directors state there is no immediate plan to exercise either the issuance or repurchase mandates; actions will depend on market conditions and the company’s financial position.

4. Other matters • Ernst & Young is nominated for re-appointment as auditor. • Director remuneration levels remain at HK$2.40 million per annum for Mr Ho and HK$0.17 million for Mr Tam. • The register of members will be closed from 23 June 2026 to 26 June 2026 (both days inclusive) for AGM eligibility.

Voting arrangements

All resolutions will be decided by poll at the AGM. Proxy forms must be lodged with Tricor Investor Services not later than 48 hours before the meeting. The company confirms that no shareholders are required to abstain from voting on any proposed resolutions.

Share price context

Over the 12 months to April 2026, Zhong Hua International’s shares traded between HK$0.034 and HK$0.147, with the most recent April range at HK$0.070–HK$0.082.

If approved, the refreshed mandates will remain in effect until the conclusion of the next AGM or earlier revocation by shareholders.
