China Ruyi Holdings Limited has issued its proxy form and notice for the Annual General Meeting (AGM) scheduled at 11:00 a.m. on 22 June 2026 in Hong Kong.
Key agenda items:
1. Accounts and Reports • Shareholders will vote on the adoption of the audited financial statements and the reports of the board and auditors for the financial year ended 31 December 2025.
2. Board Composition • Re-election of two executive directors: Mr Ke Liming and Mr Zhang Qiang. • Re-election of two independent non-executive directors: Mr Chau Shing Yim, David and Professor Shi Zhuomin. • A separate resolution will authorise the board to determine directors’ remuneration.
3. Auditor Re-appointment • Proposal to re-appoint Messrs. PricewaterhouseCoopers as external auditor and grant the board authority to fix its remuneration.
4. Share Capital Authorities • General mandate permitting the board to issue, allot and deal with shares— including any sale or transfer of treasury shares—up to 20% of the company’s issued share capital (excluding treasury shares and any repurchased shares not yet cancelled) as at the date of the resolution. • General mandate to repurchase up to 10% of the company’s issued shares on the same share-count basis. • Authority to extend the 20% issuance mandate by the number of shares repurchased under the 10% mandate.
The proxy form must be lodged with Tricor Investor Services Limited at least 48 hours before the meeting. Shareholders may appoint the chairman or another proxy to act on their behalf, and joint holders’ voting rights will follow the seniority order on the share register.
