Sembcorp Industries clears all items at Apr, 29 2026 AGM, sets 16-cent final dividend

Sembcorp Industries Ltd held its twenty-eighth annual general meeting on Apr, 29 2026 in Singapore, where shareholders approved every one of the 14 resolutions tabled for voting.

The meeting endorsed the Directors’ Statement and audited results for the year ended Dec, 31 2025 and authorised a one-tier tax-exempt final dividend of 16 cents per share, scheduled for payment on May, 15 2026 to shareholders on record as at 5:00 p.m. on May, 7 2026.

Shareholders also sanctioned directors’ fees of up to 2.8 million Singapore dollars for the year ending Dec, 31 2026 and re-appointed KPMG LLP as external auditors until the next annual meeting.

Board changes were confirmed: Lead Independent Director Lim Ming Yan and directors Josephine Kwa Lay Keng, Kunnasagaran Chinniah, Wong Kim Yin, Steven Phan Swee Kim and Andreas Sohmen-Pao were re-elected. Steven Phan becomes Audit Committee chairman, while Andreas Sohmen-Pao will succeed Tow Heng Tan as non-executive and independent chairman on Jun, 1 2026. Director Yap Chee Keong stepped down at the close of the AGM.

Shareholders renewed mandates covering share issuance (up to 50 % of issued shares, with a 5 % sub-limit for non-pro-rata issues), the company’s share plans (up to 5 % of issued shares), the interested person transactions mandate, and a share purchase mandate allowing buy-backs of up to 2 % of issued shares at prices not exceeding 105 % of the average closing price.

All resolutions were passed with approval rates ranging from 94 % to 100 % of votes cast.
