Golden Power AGM: All Resolutions Secure 100% Approval, Including 20% Issuance and 10% Buy-back Mandates

Golden Power Group Holdings Limited reported unanimous shareholder support at its Annual General Meeting on 21 May 2026, with every resolution passed by poll at 3:00 p.m. in Hong Kong.

A total of 15.40 million shares were voted, representing 39.62% of the company’s 38.88 million issued shares. All ballots were cast in favour of each motion, resulting in 100% approval across the board. Tricor Investor Services Limited acted as scrutineer.

Key outcomes:

1. Financial Statements and Auditor • Adoption of the audited consolidated financial statements for the year ended 31 December 2025. • Re-appointment of PKF Hong Kong Limited as external auditor, with the Board authorised to fix remuneration.

2. Board Composition and Remuneration • Re-election of Executive Director Mr. Tang Chi Him. • Re-election of Independent Non-executive Directors Mr. Kan Man Kim and Mr. Wong Ka Chun Matthew. • Authorisation for the Board to determine directors’ remuneration.

3. Share Capital Authorities • General mandate allowing the Board to allot, issue and deal with shares up to 20% of issued share capital. • Share repurchase mandate of up to 10% of issued shares. • Extension of the issuance mandate by the amount of shares repurchased under the buy-back authority.

4. Governance Update • Approval of amendments to, and adoption of, the second amended and restated memorandum and articles of association.

All seven directors attended the meeting, and no shareholders were required to abstain or indicated an intention to vote against any resolution. The company held no treasury shares on the record date.
