Vongroup Limited (the Company), together with its subsidiaries, has announced the appointment of Mr. James Andrew McGrah as an independent non-executive director effective from 14 November 2025. He will also serve on the Company’s Audit, Remuneration, and Nomination Committees.

Mr. McGrah, aged 64, has over 40 years of corporate and professional management experience in engineering, environmental consulting, education, technology, and sales, spanning Hong Kong, Saudi Arabia, the United Arab Emirates, and the United Kingdom. He earned a bachelor’s degree from Aston University in the United Kingdom and a master’s degree from Illinois State University in the United States. He previously held a management position at Fireguard Far East Limited.

According to the announcement, Mr. McGrah has entered into a one-year appointment commencing on 14 November 2025, subject to applicable rotation and re-election provisions. He will receive an annual director’s fee of not less than HK$50,000, determined with reference to his duties, responsibilities, qualifications, and market conditions. The Company has also confirmed that Mr. McGrah meets the independence criteria set out in Rule 3.13 of the Listing Rules.
