ARTINI HLDG Announces INED Transition: Ma Sai Yam Resigns; Hu Xiaofan Joins and Assumes Key Committee Roles

Artini Holdings Limited (“ARTINI HLDG”) has confirmed a board reshuffle effective 17 August 2026. Independent Non-Executive Director (INED) Ma Sai Yam has stepped down to focus on other business commitments, simultaneously relinquishing his positions as Chairman of the Remuneration Committee and as a member of both the Audit and Nomination Committees.

To fill the vacancy, the Board has appointed Hu Xiaofan, aged 49, as an INED for an initial one-year term ending at the next annual general meeting. Hu will receive a fixed director’s fee of HK$0.12 million per annum, with no variable remuneration. Concurrent with his board appointment, Hu becomes Chairman of the Remuneration Committee and a member of the Audit and Nomination Committees.

Hu holds a bachelor’s degree from Wuhan University of Science and Technology and brings management and industry-standards experience from previous roles, including Chairman of Shenzhen Traceability Quality Inspection and Standardization Technology Co., Limited (since 2015) and President of the Shenzhen Luohu District Authentic Traceability Jewelry Technology Research Institute (since 2019). He meets the independence criteria under Rule 3.13 of the Hong Kong Listing Rules and has no shareholding in ARTINI HLDG.

Post-appointment, the Board comprises two Executive Directors—Chairman Chen Long and Chief Executive Chen Shaojia—and three INEDs: Yuen Wai Kin, Ji Lingzi, and Hu Xiaofan.
