Kwoon Chung Bus Holdings Limited will convene its Annual General Meeting (AGM) on 21 August 2026 at 11:00 a.m. in North Point, Hong Kong. Shareholders will vote on 12 resolutions that shape the company’s capital management, board composition and dividend payout for the financial year ended 31 March 2026.
Key proposals include:
1. FY 2026 Results and Dividend • The board has recommended a final dividend of HK$0.10 per share for the year ended 31 March 2026. • Shareholders will be asked to receive and consider the audited consolidated financial statements and the reports of directors and auditor for the period.
2. Board Composition and Governance • Re-election of three directors: Executive Directors Mr Lo Man Po and Mr Wong Cheuk Tim, Timothy, MH, and Independent Non-executive Director Mr Chan Fong Kong, Francis. • Separate mandates authorising the board to determine the maximum number of directors, appoint additional directors up to that limit, and fix directors’ remuneration.
3. Capital Management Authorities • A general mandate permitting the company to buy back up to 10% of its issued shares. • A separate mandate allowing the board to allot and issue up to 20% of the existing issued share capital. • An extension of the issue mandate by the amount of shares actually repurchased under the buy-back mandate.
4. Auditor Re-appointment • Re-appointment of Ernst & Young as external auditor for the next financial year, with the board authorised to determine their remuneration.
Proxy arrangements require submission to the Hong Kong share registrar by 11:00 a.m. on 19 August 2026 for validity. Voting at the AGM will be conducted by poll, with each fully-paid share entitled to one vote.
