Wanguo Gold Group Limited (Wanguo Gold) disclosed that on 10 April 2026 it granted 11.06 million share options to directors and employees under its 2024 Share Option Scheme, in compliance with Hong Kong Listing Rule 17.06A.

Each option entitles the holder to subscribe for one ordinary share at an exercise price of HK$14.064, matching the five-day average closing price and exceeding the 10 April closing price of HK$13.91. The options have a ten-year term, vest two years after the grant date and carry no additional performance hurdles.

Distribution of the 11.06 million options is as follows: • Senior management and directors: 1.93 million options, led by Chairman and CEO Gao Mingqing (1.08 million). Executive directors Gao Jinzhu and Wang Guobiao each received 0.40 million, Liu Zhichun 0.15 million, and Wang Lixin 0.05 million. Non-executive director Wang Renxiang was granted 0.15 million, while independent non-executive directors Tsang Wai Hung, Wong Chi Ming Ming and Wang Xin each obtained 0.05 million. • Other employees: 8.68 million options.

The remuneration committee and the board approved the grants; independent non-executive directors cleared all awards to directors. No individual grant exceeded the 0.1% (directors and substantial shareholders) or 1% (employees) thresholds that would otherwise require shareholder approval.

Post-grant, 370.44 million options remain available under the scheme, with 123.66 million reserved for service providers. No financial assistance was extended to grantees. Options will lapse or be clawed back in events of serious misconduct, material financial misstatement, or termination for cause, in line with scheme rules.
