S.F. Holding Co., Ltd. (SF Holding) has filed a Next Day Disclosure Return with the Hong Kong Stock Exchange covering its A-share and H-share capital movements up to 4 September 2026.

H-SHARE BUYBACKS • On 4 September 2026 the company repurchased 606,800 H-shares on the Hong Kong Stock Exchange at prices ranging from HKD 31.10 to HKD 31.66 per share, spending HKD 19.12 million. • These shares are being held as treasury stock, lifting the H-share treasury balance to 10.94 million shares, equal to 2.35 % of total H-shares in issue and 0.21 % of SF Holding’s overall share capital. • The repurchase utilises 4.56 % of the 24 million-share mandate approved by shareholders on 8 May 2026. No H-shares have yet been cancelled. A 30-day moratorium on new share issues or treasury share sales runs to 4 October 2026.

A-SHARE REPURCHASE PROGRAMME • Under the “2025 First A-Share Repurchase Plan” (initially approved 28 April 2025 and updated on 30 October 2025 and 30 March 2026), SF Holding has bought back 160.16 million A-shares between 3 September 2025 and 21 July 2026. • The repurchased A-shares, acquired at prices ranging from RMB 33.74 to RMB 42.01, represent approximately 3.34 % of the 4.80 billion A-shares outstanding before the programme began. • All A-share buybacks are earmarked for cancellation, which—once effected—would reduce the company’s issued A-share capital from 4.80 billion to about 4.64 billion shares, trimming total share capital by roughly 3.05 %.

CAPITAL POSITION AFTER LATEST TRANSACTIONS • As at 4 September 2026, issued share capital remains unchanged at 4.80 billion A-shares and 454.94 million H-shares, totalling 5.25 billion shares. • Treasury stock stands at 10.94 million H-shares; there are no A-shares held in treasury because all repurchased A-shares are designated for cancellation upon regulatory completion.

REGULATORY COMPLIANCE The board confirms that all share repurchases were conducted in accordance with Hong Kong listing rules and relevant PRC regulations, and all necessary approvals and filings have been obtained.
