Imperium Technology Group posts wider HK$64.75 million loss for 15-month period; auditor issues going-concern disclaimer

Imperium Technology Group Limited reported audited results for the 15 months ended 31 March 2026 (the “Period”). Revenue edged up 4.0 % year on year to HK$53.58 million, while gross profit rose 25.6 % to HK$25.50 million, lifting gross margin to 47.6 % from 39.4 %.

Net loss attributable to shareholders expanded 55.2 % to HK$63.92 million, translating into a basic and diluted loss per share of HK$0.16 (FY 2024: HK$0.13). The loss increase reflected higher finance costs, larger cryptocurrency impairments and the impact of a 15-month reporting period versus 12 months previously.

Segment performance • Online games: revenue HK$17.09 million (+13.3 %); segment loss HK$16.19 million, mainly due to development costs and receivable impairments. • Cloud computing & data storage: revenue HK$1.68 million (-40.6 %); segment loss HK$17.28 million, weighed by lower Filecoin output/prices and cryptocurrency impairments. • Esports: revenue HK$32.62 million (+9.7 %); segment loss HK$0.97 million versus profit a year earlier, as player-transfer income fell. • Property investment: profit HK$2.96 million on rental revenue of HK$1.80 million.

Financial position Total assets stood at HK$103.04 million, while net liabilities narrowed to HK$129.41 million (31 December 2024: HK$179.25 million). Cash and bank balances were HK$7.03 million. Current assets exceeded current liabilities (HK$49.87 million vs HK$39.20 million), but the Group remained highly leveraged with a gearing ratio of 178.8 % (31 December 2024: 246.3 %). Loans from related parties totalled HK$183.01 million, bearing 0 %–2 % interest and maturing by September 2027.

Capital activities • October 2025 placing raised net proceeds of HK$62.45 million. • June 2026 proposed rights issue aims to raise up to HK$42.55 million on a one-for-two basis at HK$0.19 per share.

Auditor’s view Prism Hong Kong Limited issued a disclaimer of opinion, citing material uncertainties over the Group’s ability to continue as a going concern. The auditor highlighted reliance on debt extensions, cost controls, new financing and successful completion of the rights issue to meet future obligations.

Other highlights • No dividend declared. • No bank borrowings, pledges or contingent liabilities reported. • Post-period, the Group acquired a 30 % stake in VividVerse Capital Limited for HK$15.00 million to expand into AI and blockchain applications for intellectual-property assets.

Management plans to deepen AI integration across online gaming and digital-asset ventures, while closely monitoring liquidity and pursuing additional funding options.
