WAHSUN HANDBAGS Sets 31 Aug 2026 AGM; Proposes HK 0.06 Total Dividend and Board Mandates

WAHSUN HANDBAGS International Holdings Limited has circulated its proxy form outlining resolutions for the upcoming annual general meeting (AGM) scheduled at 2:00 p.m. on 31 August 2026 in The Langham, Hong Kong.

Key agenda items include:

1. Financial Statements • Shareholders will be asked to receive the audited consolidated financial statements and accompanying reports for the year ended 31 March 2026.

2. Dividend Distribution • A final dividend of HK 4.00 cents per share and a special dividend of HK 2.00 cents per share, totalling HK 0.06 per share, are proposed for the fiscal year.

3. Board Composition • Re-election of Executive Directors Mr. Ma Hing Ming and Ms. Ma Lan Chu. • Re-election of Independent Non-executive Director Mr. Ho Lai Chuen.

4. Remuneration and Auditor • Authorisation for the board to determine directors’ remuneration for the year ending 31 March 2027. • Proposed re-appointment of PricewaterhouseCoopers as independent auditor, with the board empowered to set its fee.

5. Share Issuance and Repurchase Mandates • A general mandate permitting the board to issue, allot or deal with shares representing up to 20% of the company’s issued share capital (excluding any treasury shares). • A separate mandate allowing the repurchase of up to 10% of issued shares (excluding any treasury shares). • Conditional extension of the issuance mandate by the amount of shares repurchased under the buy-back authority.

Shareholders wishing to vote are advised to lodge their completed proxy forms with the company’s Hong Kong branch share registrar no later than 48 hours before the meeting. Attendance in person remains an option, in which case lodged proxies will be deemed revoked.
