Lai Sun International (00191) and Lai Sun Development (00488) jointly announced that on January 12, 2026, the seller (an indirect wholly-owned subsidiary of Lai Sun Development and an indirect non-wholly-owned subsidiary of Lai Sun Garment) entered into an agreement with the buyer. The seller has conditionally agreed to sell, assign, transfer, and deliver, and the buyer has conditionally agreed to purchase and acquire all rights, title, and interest of the seller's limited partnership stake in the partnership company, New Vision Fund, L.P., for a purchase price of $14.6354 million (approximately HK$114 million).

The partnership company primarily invests in: pre-IPO investments in companies applying for listing on recognized stock exchanges; and companies in the early and growth stages. Given that: the limited partnership stake has relatively low liquidity due to the nature of the underlying investments; and the high volatility of these investments makes the future income potentially generated by the stake difficult to predict, the boards of Lai Sun Garment and Lai Sun Development believe the disposal presents a favorable opportunity for the Lai Sun Development Group to exit the related investment.

The disposal allows for the realization of the investment, strengthening the Lai Sun Development Group's cash flow and improving its liquidity position. The cash inflow will enable both the Lai Sun Garment Group and the Lai Sun Development Group to reallocate more financial resources towards optimizing their capital structures and/or for general corporate purposes, while simultaneously enhancing the overall cash flow and financial condition of Lai Sun Garment and Lai Sun Development.
