MEILLEUREHEALTH (02327) announced that on January 8, 2026, the company, as the buyer, intends to acquire the entire equity interest in Jiangsu Yide from the sellers, Yu Ye Group and Ms. Tan Wensheng, for a total consideration of RMB 125 million. On the same day, Mr. Zhou Xuzhou, acting as the guarantor, executed a deed of guarantee to provide a personal guarantee to the company, ensuring the sellers fulfill their obligations under the equity transfer agreement. Upon completion of the acquisition, the company will hold 100% of the equity in Jiangsu Yide. Consequently, Jiangsu Yide will become a wholly-owned subsidiary of the company, and its financial results will be consolidated into the Group's financial statements. Jiangsu Yide is a limited liability company established in China, primarily engaged in equity investment and property leasing businesses within the country. The Group is mainly involved in the residential and commercial real estate business. Given the superior location of the Yide Properties, the Board intends to hold these properties through Jiangsu Yide for investment purposes and to generate rental income. The Board believes that acquiring the Yide Properties at a relatively competitive price to secure potential capital appreciation and a future source of rental income is a favorable move for the Group. As of the date of this announcement, the majority of the Yide Properties have been leased to independent third parties. The total annual rental income from the leases on the Yide Properties is approximately RMB 7.8 million, corresponding to a rental yield of about 5.97%. Considering the locational advantages of the Yide Properties, the Group believes the acquisition, which effectively gains control of the properties by acquiring full ownership of Jiangsu Yide, is expected to optimize the Group's earnings base and asset structure. The Group also considers that the acquisition will lead to improved cash flow prospects, potential for capital appreciation, and the possibility of higher future returns.
