Air China Signs Second Capital Increase Agreement for Shenzhen Airlines

Air China Limited announced that on 12 June 2026 it executed the Second Capital Increase Agreement with Shenzhen International Logistics, Kunhang Investment and Shenzhen Airlines, reiterating the connected-transaction framework first disclosed on 5 June 2026.

The new agreement confirms that all commercial terms, counterparties and contribution conditions remain unchanged from the initial June 5 disclosure, formally advancing Air China’s planned capital injection into its associate, Shenzhen Airlines.

The board’s update signals procedural progress in completing the capital contribution, which is designed to strengthen Shenzhen Airlines’ capital base. No amendments to pricing, ownership percentages or payment schedules were introduced in the second agreement.

Directors as of the announcement date include Liu Tiexiang, Qu Guangji, Cui Xiaofeng, Lam Siu Por Ronald, Xiao Peng, Xu Niansha*, He Yun*, Winnie Tam Wan-chi* and Gao Chunlei*, with the asterisk denoting independent non-executive directors.

The notice was issued from Beijing on 12 June 2026. Shenzhen Airlines, Shenzhen International Logistics and Kunhang Investment also remain parties to the transaction under the confirmed terms.
