Poly Property appoints Liu Wensheng as Non-Executive Director, expands Audit and Remuneration Committees

Poly Property Group Co., Limited announced the appointment of Mr. Liu Wensheng, aged 57, as a Non-Executive Director effective 2 July 2026. Concurrently, Mr. Liu will join both the Audit Committee and the Remuneration Committee, expanding their memberships to seven and five members respectively.

Mr. Liu, a qualified accountant with a college diploma, has held senior finance and management roles across multiple Poly-affiliated companies, including deputy general manager of Poly Developments and Holdings Group Co., Ltd. (Shanghai Stock Exchange: 600048) and chairman positions at Poly Union Chemical Holding Group Co., Ltd. (Shenzhen Stock Exchange: 002037) and other regional subsidiaries. He currently serves as a designated external director for China Poly Group Corporation Limited.

On 26 October 2023, the Guizhou Regulatory Bureau of the China Securities Regulatory Commission imposed a regulatory interview on Mr. Liu, then chairman of Poly Union, for delayed information disclosure related to a mining-rights acquisition. The Board assessed the incident and concluded it does not affect his integrity or suitability for the new role.

Key terms of Mr. Liu’s engagement: • Three-year term starting 2 July 2026, subject to re-election at the first annual general meeting thereafter and to subsequent rotation requirements. • No director’s emoluments payable by Poly Property. • Personal shareholding: 554,925 shares in Poly Developments and Holdings, representing approximately 0.0046 % of that company’s issued share capital.

Following the changes, the Board comprises nine directors: two Executive Directors, three Non-Executive Directors (including Mr. Liu), and four Independent Non-Executive Directors.
