UNITY ENT (02195) announced the completion of its acquisition of all equity in Noble Construction. The transaction was finalized on November 7, 2025, in accordance with the terms and conditions of the sale and purchase agreement. Following the completion, the group now holds a 100% equity interest in the target company, making it a wholly-owned subsidiary. The financial performance of the target company will be consolidated into the group's accounts.

Under the agreement and after share consolidation adjustments, the company has allotted and issued 28.1905 million consolidated shares to the seller at an issue price of HK$0.385 per consolidated share (equivalent to HK$0.0385 per existing share). Additionally, the buyer issued an acceptance note amounting to HK$24.1467 million to the seller.
