Man Sang Int’l Keeps Share Capital Unchanged in July; 2% Convertible Bonds Hold Potential 1.49 Billion New Shares

On 3 August 2026, Man Sang International Ltd. filed its Monthly Return for Equity Issuer with Hong Kong Exchanges and Clearing, covering movements up to 31 July 2026.

The company’s authorised share capital remained steady at 5.00 billion ordinary shares with a par value of HKD0.10 each, equivalent to HKD500.00 million. No changes were recorded during the month.

Issued share capital was also unchanged. Outstanding ordinary shares totalled 647.20 million, with no treasury shares on the books. Management confirmed compliance with the Main Board’s minimum 25% public-float requirement.

No share options, warrants, share repurchases or other equity instruments were issued, cancelled or converted in July.

The only outstanding potential dilution stems from HKD594.26 million of 2% coupon convertible bonds issued on 1 June 2026 and maturing on 31 December 2029. These bonds carry a conversion price of HKD0.40 per share and, if fully converted, could generate up to 1.49 billion new ordinary shares. There were no conversions during the reporting month.

With all regulatory confirmations in place and no capital movements recorded, Man Sang Int’l closed July 2026 with stable share metrics and adequate public float.
