ProsperCap announces discharge of old share charge and creation of new pledge over 83.74% stake

ProsperCap Corporation Limited disclosed on Apr, 28 2026 that the share charge granted on Jan, 27 2026 in favour of Bangkok Bank Public Company Limited has been fully discharged following repayment of all borrowings by parent company DTGO Corporation Limited.

DTGO’s subsidiary, DTP Inter Holdings Corporation Pte. Ltd. (DTPIH), has simultaneously executed a new share charge dated Apr, 27 2026 over 1,344,870,969 ProsperCap ordinary shares, amounting to about 83.74% of the company’s issued capital.

The pledged shares collateralise a fresh THB 6.0 billion promissory note sale facility—approximately 0.23 billion Singapore dollars—granted by Bangkok Bank to DTGO under a new facility agreement and promissory note executed the same day.

ProsperCap said the announcement is made under Rule 728 of the Singapore Exchange Catalist Rules, pursuant to an undertaking requiring DTGO to inform the company of any pledge over its controlling stake.
