Golden Power Group Moves to Modernize Governance with Electronic Meeting and Voting Provisions

Hong Kong, 23 April 2026 — Golden Power Group Holdings Limited (GOLDENPOWER) plans to overhaul its Articles of Association, seeking shareholder approval at the forthcoming annual general meeting (AGM) to align with updated Hong Kong Listing Rules that take effect on 1 July 2025.

Key elements of the proposed amendments include:

• Enabling shareholders to cast votes at general meetings via electronic means. • Introducing flexibility to convene electronic and hybrid general meetings. • Eliminating the obligation to issue separate availability notices when corporate communications are published on the Company or Stock Exchange websites. • Formalising procedures for electronic dissemination of documents and acceptance of electronic instructions from shareholders. • Implementing consequential and housekeeping changes to ensure compliance with the latest regulatory standards.

The amendments will become effective once approved by a special resolution at the AGM. A circular outlining the full text of the revisions and the AGM notice will be distributed to shareholders in due course.

The Board currently comprises four executive directors—Chairman and Executive Director Chu King Tien, Chu Shuk Ching, Chu Ho Wa and Tang Chi Him—and three independent non-executive directors, Tang Sze Ning Erica, Kan Man Kim and Wong Ka Chun Matthew.
