Cinese International Group Holdings Limited reported that every item on the agenda of its 25 June 2026 Annual General Meeting (AGM) was approved by a poll with at least 99.4% of votes cast in favour.
The AGM drew shareholders or proxies representing 907.53 million shares—approximately 75.6% of the 1.20 billion shares in issue—ensuring a robust quorum. No shareholder was required to abstain, and none indicated an intention to vote against any motion in advance.
Key ordinary resolutions passed: • Receipt of the FY2025 audited consolidated financial statements. • Re-election of executive directors Liu Xue Bin and Liu Jiefeng, and independent non-executive director Lo Ying Kit. • Authorisation for the board to set directors’ remuneration. • Re-appointment of BDO Limited as independent auditor with the board authorised to fix its fees. • Renewal of general mandates allowing the board to issue up to 20% of issued shares and to repurchase up to 10%, plus an extension mandate aggregating repurchased shares to the issue mandate.
The special resolution—requiring a 75% approval threshold—also passed decisively, enabling the adoption of a new Memorandum and Articles of Association that consolidates previously proposed amendments with immediate effect.
Boardroom Share Registrars (HK) Limited acted as scrutineer for the vote-taking process. All directors attended the meeting, with Dr. Kou Chung Yin Mariana present in person and the remaining directors participating electronically.
