Winson Holdings Hong Kong Sets 20 Aug 2026 AGM; Seeks Shareholder Nod for HK 0.8-Cent Final Dividend, Board Re-elections and Fresh Mandates

Winson Holdings Hong Kong Limited will convene its 2026 Annual General Meeting (AGM) on 20 August 2026 at 10:00 a.m. on the 14th floor of Fairmont House, 8 Cotton Tree Drive, Central, Hong Kong.

Key resolutions for shareholder approval include:

• Financial Statements and Dividend – Adoption of the audited consolidated financial statements and directors’ and auditor’s reports for the financial year ended 31 March 2026. – Declaration of a final dividend of HK 0.8 cents per share for the same period.

• Board Composition and Remuneration – Re-election of Madam Ng Sing Mui as Executive Director. – Re-election of Mr. Chung Koon Yan and Mr. Ng Moon Fai as Independent Non-executive Directors. – Authorisation for the board to fix directors’ remuneration.

• Auditor Re-appointment – Re-appointment of BDO Limited as the Company’s auditor with authority for the board to set its remuneration.

• Capital Management Authorities – General mandate granting directors authority to allot, issue, and deal with additional shares. – General mandate to repurchase the Company’s own shares. – Authorisation to extend the share-issue mandate by the number of shares repurchased.

Shareholders of record are entitled to appoint proxies to attend and vote. Proxy forms must be lodged with Tricor Investor Services Limited by 10:00 a.m. on 18 August 2026, at least 48 hours before the AGM. Completion of the proxy form does not preclude shareholders from attending and voting in person at the meeting.
