SINOTRUK (Hong Kong) Limited (Stock Code: 03808) announced on 31 October 2025 that it has reached two renewed arrangements concerning continuing connected transactions with China National Heavy Duty Truck Group Company Limited (CNHTC) and Weichai Holdings (collectively, the Weichai Group).

The first arrangement is the 2028 Finance Lease and Guarantee Agreement for a three-year term from 1 January 2026 to 31 December 2028. Under this agreement, SINOTRUK and its subsidiaries may obtain finance lease services from the CNHTC Group and/or qualified independent third-party financial institutions, with the CNHTC Group and certain members of SINOTRUK providing related guarantees. The new annual caps, based on projected repayment demands, are RMB220 million for 2026, RMB120 million for 2027, and RMB60 million for 2028. These transactions are subject to reporting, announcement, and annual review requirements but are exempt from independent shareholders’ approval under Chapter 14A of the Listing Rules.

The second arrangement is the 2026 Weichai Parts Purchase Agreement for a one-year term ending 31 December 2026, covering the supply of engines, gearboxes, assemblies, and other related materials. The proposed annual cap is RMB21,000 million, reflecting SINOTRUK’s anticipated stable procurement demand for the coming year. As certain applicable percentage ratios exceed 5%, this portion of the transactions requires reporting, announcement, annual review, and independent shareholders’ approval under Chapter 14A of the Listing Rules.

According to the announcement, a circular containing further details about the 2026 Weichai Parts Purchase Agreement, the recommendations of the independent board committee, and the notice of the general meeting is expected to be dispatched on or before 28 November 2025. The final dates and approvals will be confirmed following independent shareholders’ review and vote at the forthcoming meeting.
