Greenheart Group to Convene AGM on 9 June 2026, Seeking Shareholder Approval on FY2025 Results, Board Re-elections and Capital Mandates

Greenheart Group Limited will hold its annual general meeting (AGM) on 9 June 2026 at 11:30 a.m. in the Basement 2 Function Room of The Wharney Guang Dong Hotel Hong Kong, Wanchai. Shareholders will vote on the audited consolidated financial statements for the year ended 31 December 2025, along with the directors’ and auditor’s reports.

Key board matters include the proposed re-election of four directors—Mr. Ding Wai Chuen (executive), Mr. Kenneth Lau (non-executive), Mr. Lie Ken Jie Remy Anthony Ket Heng (non-executive) and Mr. Wong Man Chung, Francis (independent non-executive)—as well as authorisation for the board to fix directors’ remuneration.

Deloitte Touche Tohmatsu is nominated for re-appointment as auditor, with the board to determine its remuneration.

Shareholders will also consider three ordinary resolutions on capital management: 1. A general mandate allowing the board to allot and issue shares up to 20% of the company’s issued share capital at the date of approval. 2. A share repurchase mandate permitting buybacks of up to 10% of issued share capital, excluding treasury shares. 3. An extension of the issuance mandate by the volume of shares repurchased under the buyback authority, capped at an additional 10% of issued capital.

The register of members will be closed from 4 June to 9 June 2026 (both dates inclusive). Transfers must be lodged by 4:30 p.m. on 3 June 2026 to qualify for attendance and voting. All AGM resolutions will be decided by poll, in line with Hong Kong listing rules.
