HANS CNC to Vote on Capital Adjustment, Surplus Proceeds Reallocation and Shift to PRC GAAP at 2026 Extraordinary Meeting

Shenzhen Han’s CNC Technology Co., Ltd. (HANS CNC) has released a proxy circular for its second extraordinary general meeting (EGM) of 2026, scheduled for 9:30 a.m. on 31 July 2026 at the company’s headquarters in Bao’an District, Shenzhen.

Key matters to be put to shareholder vote are as follows:

1. Registered Capital and Articles Revision (Special Resolution) • Proposal to alter the company’s registered capital and make related amendments to the Articles of Association, followed by the required industrial and commercial registration.

2. Use of A-Share Offering Proceeds (Ordinary Resolution) • Management seeks approval to close the dedicated accounts for A-share proceeds after completing the funded projects. • Remaining surplus funds are proposed to be transferred permanently to supplement working capital.

3. Accounting Standards Transition and Auditor Termination (Ordinary Resolution) • The board recommends adopting China Accounting Standards for Business Enterprises (PRC GAAP) for future financial reporting. • Concurrently, the appointment of the current overseas financial report auditor will be terminated.

Proxy Logistics • Shareholders may appoint one or more proxies (who need not be shareholders) or default to the meeting chairman. • Completed proxy forms, together with notarised authorisations, must reach Tricor Investor Services Limited, 17/F, Far East Finance Centre, 16 Harcourt Road, Hong Kong, by 9:30 a.m. on 30 July 2026.

Voting is non-cumulative, and abstentions will be included in the calculation of requisite majorities.
