Samsung Biologics Proposes All-Cash Takeover Bid Valued at CHF 1.46 Billion for Swiss PolyPeptide Group

On July 20th, South Korea's Samsung Biologics announced a public tender offer for the Swiss PolyPeptide Group in an all-cash deal valued at 1.46 billion Swiss francs, approximately equivalent to 1.8 billion US dollars.

Under the terms of the offer, shareholders of the target company will receive 44.31 Swiss francs per share. The transaction is anticipated to be finalized by the end of this year.

Samsung Biologics stated that this acquisition would represent the largest merger and acquisition transaction ever within the Korean biopharmaceutical sector. The company aims to expand its peptide therapeutics business through this deal, further enriching its existing product portfolio, which is centered around antibody drugs and antibody-drug conjugates.

The goal is to better meet client needs across a broader range of therapeutic modalities and to capitalize on the rapidly growing market for obesity and diabetes treatments.

Peptide therapies are medications composed of short-chain amino acids. This category includes GLP-1 class drugs for obesity and diabetes, which work by mimicking natural hormones to suppress appetite and regulate blood sugar levels.

Samsung Biologics highlighted that upon completion of the acquisition, the company will gain access to the PolyPeptide Group's global network, which spans Sweden, Belgium, France, the United States, and India.

This network provides end-to-end capabilities across research, development, and commercial manufacturing, thereby facilitating a significant expansion of Samsung Biologics' global footprint.

The PolyPeptide Group is headquartered in Baar, Switzerland. It was established as a spin-off from the global pharmaceutical company Ferring in 1996 and specializes in the development and manufacturing of peptide active pharmaceutical ingredients.

The company has a track record of developing and producing over 1,000 therapeutic peptides.

Peter Wilden, Chairman of the PolyPeptide Group's Board of Directors, noted that following a comprehensive review of strategic options, the board has concluded that the offer from Samsung Biologics is attractive to shareholders, providing an appealing cash price and immediate, certain value.
