Founder Holdings Limited disclosed that it repurchased 100,000 ordinary shares on 2 September 2026 via on-market transactions at prices between HKD 0.555 and HKD 0.56, for a total consideration of HKD 0.06 million. The shares, representing 0.01 % of the company’s existing issued share capital, are earmarked for cancellation but remained outstanding as of the disclosure date.
The repurchase leaves Founder Holdings’ issued share count unchanged, with 1.15 billion shares outstanding as at both 31 August 2026 and 2 September 2026. Including the latest tranche, the company has bought back 1.14 million shares since 8 June 2026 under its current mandate—equivalent to 0.10 % of the issued shares authorised for repurchase by shareholders on 28 May 2026. The mandate permits purchases of up to 115.53 million shares.
A moratorium restricting new share issues or treasury share disposals runs through 2 October 2026, in accordance with Hong Kong Stock Exchange rules triggered by the latest buyback.
Company Secretary Eva Cheang confirmed that all repurchases complied with the Exchange’s Main Board Rules and that no material changes have been made to the explanatory statement filed on 16 April 2026.
