BoardWare Intelligence Technology Limited (BoardWare Intelligence, 01204) has issued its 2026 annual general meeting (AGM) circular outlining four principal proposals for shareholder approval when the meeting convenes on 18 June 2026 in Macau. Key details are as follows:
1. Capital Mandates • Issue Mandate: Directors request authority to issue, allot or deal with up to 100.00 million new shares—equivalent to 20% of the 500.00 million shares outstanding (excluding any treasury shares) as of the AGM date. • Repurchase Mandate: Management also seeks approval to repurchase up to 50.00 million shares, or 10% of the issued share capital, with flexibility to cancel or hold repurchased shares as treasury stock subject to prevailing regulations. • Extension Mandate: Subject to the above approvals, the number of shares actually repurchased may be added to the refreshed issue mandate.
2. Board Composition • Retirement by rotation and proposed re-election: – Executive Director: Mr. Ng Hong Kei, currently Vice President and head of business development. – Independent Non-executive Directors: Mr. Man Wing Pong, recently designated Lead INED, and Mr. Suen Chi Wai. • All three are eligible and have offered themselves for re-election, with the Nomination Committee affirming their performance and Mr. Man and Mr. Suen’s independence under Rule 3.13 of the Listing Rules.
3. Auditor • Deloitte Touche Tohmatsu, the incumbent auditor, is nominated for re-appointment until the conclusion of the next AGM; the board will fix its remuneration.
4. Meeting Logistics • Share register will close 15–18 June 2026; share transfers must be lodged by 4:30 p.m. on 12 June 2026 to qualify for attendance and voting. • Proxy forms must reach Tricor Investor Services Limited at least 48 hours before the meeting. • All resolutions will be decided by poll, with results posted on HKEX and company websites.
If approved, the share mandates will remain effective until the next AGM, expiry of the statutory period for holding the next AGM, or earlier revocation by shareholders.
