DOBOT Plans A-Share Issuance of Up to 48.88 Million Shares

DOBOT (02432) announced that during the second meeting of its second board of directors held on March 13, 2026, a resolution was passed to propose an application for an initial public offering of A-shares and listing. This move aims to optimize the company's capital structure, broaden financing channels, achieve long-term development goals, and enhance the liquidity of all shares held by shareholders.

The total number of A-shares to be issued will not exceed 48.88 million, representing no more than approximately 11.11% of the company's total issued share capital as of the date of this announcement. Furthermore, it will account for no more than about 10.00% of the company's total issued share capital following the allotment and issuance of A-shares, prior to any exercise of an over-allotment option. Subject to compliance with relevant laws, regulations, and regulatory requirements, and assuming no other changes to the company's issued share capital, the company may authorize the underwriter to exercise an over-allotment option to over-allot up to 15% of the number of A-shares to be issued under the proposed A-share offering (before any over-allotment).

The board of directors believes that the A-share offering will optimize the company's capital structure, broaden financing channels, help achieve the company's long-term development objectives, and improve the liquidity of all shares held by shareholders.

In other company news, Mr. Wang Yong has resigned from his position as Company Secretary. However, he will remain with the company as an Executive Director, Chief Financial Officer, Deputy General Manager, and one of the Joint Company Secretaries. Additionally, Mr. Ni Yaoqing has been appointed as Company Secretary, effective March 13, 2026.
