ZHONGSHENJIANYE (02503) announced on November 6, 2025, that the company intends to acquire a total of 100% equity in Huajian Development Limited from Huajian Investment Limited, Huajian Consulting Limited, and Huajian Technology Limited. The total consideration amounts to approximately HK$213.6 million, which will be settled by issuing around 403 million consideration shares at HK$0.53 per share to the sellers or their nominees.

The target company is primarily engaged in investment holding. As part of its construction engineering contracting services, the group is responsible for supervising its construction projects. Considering Huajian Engineering's specialization in the engineering supervision sector, the board believes the acquisition presents an excellent opportunity for the group to enter this field and enhance its supervision capabilities.

The acquisition will facilitate the integration of the group's resources in construction contracting, thereby expanding its customer base and further strengthening its position and competitiveness in the construction industry.
