BEXCELLENT GP (01775) announced that on August 18, 2025, the company intends to place and issue a total of 25.38 million subscription shares to subscriber TUNG, Po-yu, representing approximately 4.76% of the enlarged issued share capital following the placement and issuance of the subscription shares.

The subscription price is set at HK$0.50 per subscription share, representing a premium of approximately 20.48% over the closing price of HK$0.415 per share on August 18. The estimated net proceeds from the issuance of subscription shares amount to approximately HK$12.57 million.

The company plans to utilize the net proceeds from the subscription as follows to support the group's growth and operational improvements: 30% will be allocated toward enhancing the infrastructure and technology of teaching centers, introducing advanced solutions such as artificial intelligence tools and systems to upgrade learning platforms, assessment tools, and management systems; 30% will be used to strengthen and expand the teaching team through recruitment of high-caliber teaching professionals and experts, and the implementation of training and development programs focusing on the application of innovative teaching methodologies; 10% will be designated for brand development and awareness enhancement through advertising and promotional activities; and 30% will serve as working capital to support daily operations.
